Welcome to AgentHub ("Platform", "Service", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the AgentHub platform, including all AI agents, software, tools, and services provided through our website located at https://market.niyogen.com (the "Website").

IMPORTANT NOTICE: This application and all AI agents provided herein are provided by Niyogen PTE LTD ("Company", "we", "us") under Singapore jurisdiction. The Company shall not be liable or responsible for any loss whatsoever, as this whole application and all agents are for educational purposes only.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Acceptance of Terms

By accessing, browsing, or using the AgentHub platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing this Service.

These Terms constitute a legally binding agreement between you and Niyogen PTE LTD. Your use of the Service constitutes your acceptance of these Terms.

3. Educational Purpose and Disclaimer

EDUCATIONAL USE ONLY: The AgentHub platform, including all AI agents, software, tools, and content provided through this Service, is provided solely for educational and research purposes. The Service is not intended for commercial, production, or mission-critical use.

You acknowledge and agree that:

• The Service and all AI agents are provided "as is" for educational purposes only
• The Service is not designed, tested, or certified for production environments
• Results, outputs, or recommendations from AI agents should not be relied upon for critical decisions
• You are solely responsible for evaluating the suitability of any agent for your intended use
• The Company makes no representations or warranties regarding the accuracy, reliability, or fitness for any particular purpose

4. Limitation of Liability and Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Niyogen PTE LTD, its officers, directors, employees, agents, affiliates, and licensors shall not be liable or responsible for any loss, damage, injury, claim, liability, or expense of any kind whatsoever, including but not limited to:

• Direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage
• Errors, omissions, or inaccuracies in content or AI agent outputs
• Interruption or cessation of the Service
• Viruses, malware, or other harmful components
• Unauthorized access to or use of your account or data
• Any loss or damage arising from your use of or reliance on the Service or any AI agent

INDEMNIFICATION: You agree to indemnify, defend, and hold harmless Niyogen PTE LTD, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of or access to the Service
• Your violation of any term of these Terms
• Your violation of any third party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the Service caused damage to a third party

5. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or quality of any information, content, or AI agent outputs
• Warranties that defects will be corrected
• Warranties regarding the security of the Service or protection against viruses or other harmful components

The Company disclaims all warranties, express or implied, to the fullest extent permitted by law. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

6. User Responsibilities and Restrictions

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring that your use of the Service complies with all applicable laws and regulations
• Evaluating the suitability and accuracy of any AI agent or output for your intended use
• Backing up any data or information you input into the Service
• Any consequences resulting from your use of downloaded agents or their outputs

You agree NOT to:

• Use the Service for any illegal, unauthorized, or prohibited purpose
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove any copyright, trademark, or other proprietary notices
• Use the Service to transmit any viruses, malware, or harmful code
• Use the Service in any manner that could damage, disable, or impair the Service
• Use AI agents or outputs for critical decision-making without independent verification

7. Intellectual Property Rights

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Niyogen PTE LTD or its content suppliers and are protected by Singapore and international copyright, trademark, patent, trade secret, and other intellectual property laws.

AI agents available on the Platform may be subject to their own licensing terms. You are responsible for reviewing and complying with any applicable license terms for agents you download or use.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without prior written consent from Niyogen PTE LTD.

8. Payment Terms and Refunds

Payment: All payments for AI agents are processed through third-party payment processors. You agree to provide current, complete, and accurate purchase and account information for all purchases.

Price Changes: The Company reserves the right to change prices for any product or service at any time without prior notice. Prices are subject to change without notice.

By making a payment, you acknowledge and agree that you have read and understood this non-refundable policy and that you will not be entitled to any refund under any circumstances.

9. Account Termination

The Company reserves the right, in its sole discretion, to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees (if applicable)
• Extended periods of inactivity
• Any other reason deemed necessary by the Company

Upon termination, your right to use the Service will immediately cease. The Company may delete your account and any associated data at its sole discretion.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore. You agree to submit to the personal and exclusive jurisdiction of such courts.

Niyogen PTE LTD is a company incorporated in Singapore, and all legal matters shall be resolved in accordance with Singapore law.

11. Changes to Terms

The Company reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision shall be replaced with a valid provision that comes closest to the intent of the invalid provision.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Niyogen PTE LTD regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
